It came down to the following that fixed it:

To resolve this problem, delete the HKEY_CURRENT_USER\Software\Microsoft\Office\12.0\Word\Data registry subkey. To do this, follow these steps:

  1. Exit all Office programs.
  2. Click Start, type regedit in the Start Search box, and then press ENTER. If you are prompted for an administrator password or for a confirmation, type the password, or click Continue.
  3. Locate and then click the following registry subkey:
    HKEY_CURRENT_USER\Software\Microsoft\Office\12.0\Word\Data
  4. On the Edit menu, click Delete, and then click Yes.
  5. Exit Registry Editor.
  6. Restart Word.

I had purchased Vista Ultimate, so I installed Windows 7 Ultimate. I guess since this was an “in-place” install, it was expected to take a while. I gave up an went to bed after about 4 1/2 hours. Yes, it was taking that long!  It hung at ~21% which had me worried, but like others I “Googled” it and found that that was not unusual. Too tired to deal with it, in the morning it was ready for my product key and finished installing.  More impressions later… So far, not THAT different from Vista.
